Found the cause.

McAfee Host Intrusion Prevention (HIPS) / Firewall. Firewall Log says:

Attach Type: Suspicious Function Invocation

Solution:

Suspended the Firewall/HIPS

Re-ran the SP3 install.

Success!!!!

Note: the McAfee HIPS console has the User interface locked....
