What are the major advantages of 64 Bit SQL Server over 32 bit ?

    Experts,

    One of the application DB is SQL2K5 32 bit and user wants to upgrade that to SQL 2012.

    We are planning to recommend for 64 Bit OS/SQL Server.

    What are the major advantages of 64 Bit SQL Server over 32 bit in a nutshell ?

    The ability to directly address more than 2GB of memory.
