I think it may be login related, too. I've had this happen on an NT4 box.
Can you shut down the service from the Services menu?
Next, check to see who is the login id for this service. If you are admin, change it to yourself, or create another account that has admin rights and assign the SQLAgent service login to that.

Hiya,
Both SqlServer and SqlAgent run under the same NT account.
Does this account actually need Admin rights? I rather not use an admin for running SqlServer and SqlAgent (some extended xp procedures ran by SqlAgent can actually find this account and password and then have 'unlimited' access to my system: security risk).
Nope, I can't stop from service window either (it is already stopped according to the windows services control).
I'm pretty sure it has to do with the Mail issue. Somehow the Agent fails to 'fully' start. From an OS point of view it is started (the executable to start this service has been run), but from a SqlServer point of view it cannot run becuase of the mail issue. So it's somewhere in a in between twillight zone (executable to start has been run succesfully, but the thread itsef not).
Does that make sense?

The account doesn't need to an admin, but it does require you check some registry and file permissions. Here's the relevant Books OnLine page from MSDN:
