I just wanted to post a summary of what we did to correct the issue. Not only did these steps correct the error but improved performance immensely.
This is for Sharepoint MOSS 2010 running on SQL Server 2008 R2 SP1 on WIndows 2008 R2.
We have enabled TDE on sql server and using THales nCipher HSM.
We updated the vc++ 2010 based on the follow microsoft links:

And we adjusted all databases to SIMPLE recovery mode to reduce I/O and buffer latch timeouts.
This resolved the follow errors:
Exception Address = 000000000C547A0A Module(ncsqlekm+0000000000017A0A)
Exception Code = c0000005 EXCEPTION_ACCESS_VIOLATION
Access Violation occurred reading address 000000000000000C
SQL Server has encountered 1 occurrence(s) of I/O requests taking longer than 15 seconds to complete on file
A time-out occurred while waiting for buffer latch -- type 2

An update on our situation, although we did resolve the exception noted earlier, we continue to work with Thales and Microsoft on a solution for the TDE + nCipher HSM as we still see periodic locking without resolution.

Thales finally discovered the issue. They provided information to increase the level of logging and were able to determine a bug in the sql_ekm. THey provided a fix and so far have not seen the issue again!!!
If you are having trouble make sure you have the latest from Thales.
BTW - Working with THales to resolve was a very good experience. MSFT on the other was horrible. WE got passed around between 8 different technicians of the course of 3 months and couldnt even receive logs from their own ftp software/site.
Major indication of this error is stack dump in the sql server error logs with "crypto exception".
