Looks like you need to run the windows installer cleanup utility (not spyware I swear :-))
You can download it from microsoft here.

Here is a forum where this question was answered a while ago.
I hope this helps,
Thanks,

Did you have a SQL 2008 installation on the pc prior to installing SQL 2005?

the first time in installed sql2005 a month or so back it installed ok although i first had to install sp3.at the time i had office 2003 installed on this machine.then my computer got a virus and had a host of other problems so i contacted the IT department
and they formatted the machine and loaded xp from scratch.except this time they installed office 2007.when i tried to install sql2005 it gave an error on trying to install msxml6 and OWC11 (the latter which was caused by office 2007).so i downloaded owc11 and installed that fine.but i still cant resolve the msxml6 issue.ive tried everything including the installer cleanup utility to no avail

Have a look at http://social.msdn.microsoft.com/Forums/en-US/sqlsetupandupgrade/thread/6903931a-df5a-4f37-9e23-8dd997c16f0b. Let me know if it works.
