Currently we have a server with 8 cpu's running windows 2003 r2 enterprise edition x64 and sql server 2005 64 bit standard edition x 64.
Question; Will that version of sql server function with all of the processors? MSDN is not clear about this.

It will only be a problem if you have 8 separate 1-core processors on the machine. I doubt that very much and would think you either have 4-dual core processors or 2-quad core processors.
Per processor licensing is determined by socket, not cores - and the same for the limitations of each edition. The number of cores does not matter - what matters is the number of sockets in use on the machine.

If as Jeffrey has noted, you have 8 sockets then SQL Server 2005 Standard will only use 4 of the processors. You should be able to run SQL Server 2005 Standard, but you'll be "wasting" the other 4 processors. You might want to consider running a VM and allocate 4 of the Sockets to that VM.
