Is it OK if i install sql 2005 standard edition on a box which already has sql 2000. I am trying to overwrite 2000. Or do i need uninstall 2000 completely and install fresh copy of 2005.

It all depends.
If SQL Server 2000 is not needed and there is no database to be upgraded to 2005 just uninstall SS2K and install SS2K5
If SQL Server is still needed because user databases have to be upgraded to 2005 install a fresh SS2K5 copy alongside current SS2K, upgrade databases then uninstall SS2K
The only thing you want to avoid is to put SS2K5 on top of SS2K -don't "overwrite" it please.
