I need to find a company that operates in New York that will accept corp-to-corp in exchange to W2 formal employment with them.
I am asking this question because I found a consulting opportunity, but they don't to hire for W2, they pay only on corp-to-corp basis.
I anticipate questions why don't I open my own corp ? I have already done this before, and there is a lot of bureocracy and paperwork involved in opening/closing corp, accounting, etc.

I've used MBOPartners.com (formerly mybizoffice.com) for this very thing. You go find your own contracting opportunity, then they execute the statement of work. You enter your time on the website, they do the billing, then you go back to the website and set up when and how to pay you. They take care of taxes and turn the result into a W-2.
They take 5% as their fee. To me, that was well worth the time and money I would have spent on incorporation, bookkeeping, billing, self-employment taxes, liability insurance (which is included in the fee), and legal advice to get the contracts and statements of work written correctly. There's also a feeling of comfort knowing that a company with legal and collection resources is doing the billing, not just a one-man shop run out of a spare bedroom in my house.
You can even submit expenses to be taken out pre-tax, buy health insurance, set up a 401(k), etc. I bought a new computer, software, and some SQL books pre-tax. When submitting expenses, you can specify whether those expenses additionally get billed to the client (for example, if you're on a time-and-materials contract and you have to fly somewhere).
I never had a problem with them. I used them for a few years until my full-time job took too much time to allow me to keep a decent amount of side consulting going. Should I turn independent full-time, that will be the first place I go.
