I am running SQL 2k SP3 and WIN 2k SP3 CLUSTER server. For some reason i cannot find any SQL SERVER Counters on Performance Monitor.
Any info would be greatly appriciated.

I've seen this happening with SQL 7.0 several times and the reason usually was that the SQL Server Service account wasn't a member of the local Administrators group.
Check your service account and run setup again, this should solve your problem.

I got the answer for thsi issue and it been resolved :

We tested the workaround of unloading and loading the sqlctr.ini file on the test cluster and in our FTMDBV10CORPGE.
Once loaded again, we had to failover to the passive node and Reboot the Active node. This fixed the problem and the
counters are now showing up.
