Hi
I want to load a second instance (2008 R2) on a server that has a default instance of 2005. As far as I understand I need to license the 2 cpu's that means I need 2 2008 R2 licenses for the server or do I need 4 licenses? 2 for 2005 and 2 for 2008R2?

I don't think SQL 2008 licenses will cover SQL 2005, but I wouldn't swear to that. Ask on Microsoft's support site. You'll get a more authoritative answer there.
