Just finished my first install on a windows 2003 server. No upgrade required.
The installation said for some features IIS is required. I don't think we will be using the web and I know we aren't using Analysis services.
Is there any reason we need IIS?

The only feature which needs IIS (and ASP.net) is Reporting Services. It has actually nothing to do with web access. If you have no plans of using this you can ignore the warnings.
Anyway if you decide to install IIS and Reporting Services later there can be some issues because of the fact the the service pack level of RS is different from the rest of your installation.
At the company I currently work for we decided to host RS on as separate server because not all applications will use it and we don't want IIS on our main production machines.
