We have CAL based sql server 2012 enterprise edition and wanted to upgrade it to core based sql server 2012 enterprise. Do we need to reinstall sql server or it can simply upgrade.

Just download and run the setup for the core license edition of SQL2012 and choose upgrade edition.

This is incorrect. SQL 2012 Enterprise edition was not offered with CAL licensing. You can check this using the Licensing reference guide at: http://download.microsoft.com/download/7/3/C/73CAD4E0-D0B5-4BE5-AB49-D5B886A5AE00/SQL_Server_2012_Licensing_Reference_Guide.pdf
If you have the Standard edition licensed by CAL you would just need to buy core licenses for the Enterprise Edition I'm sure, though you'd need to speak to your license reseller to confirm.

It's not incorrect, If you have legacy 2008 enterprise and you are upgrading the same to 2012 enterprise by using software assurance then you will get sql server 2012 cal-server license.
