    Seriously? you need to ask? just by the question itself, you can tell it involved moving something(migration)

    from one server to another vs upgrading an existing server?

    you are posting questions that you should Google instead of asking a forum.

    This sounds like database 101 classwork questions. at least put a little effort into your homework and google it or read the chapter first.

    migration is to migrate a database from sql server to oracle/mysql or any other database server...

    upgradation will refer to upgrade the sql server from sql server 2000 to 2005
