We want to temporarily host sql 2005 and 2012 on the same VM server. The vm is windows 2008 r2.
Once this is accomplished, we want to deactivate the sql2005 installation. Any constraints or gotchas?

We did this for a series of conversions of remote site from SQL 2000 to 2012. We could not move DBs down the WAN but we had to do a one-hop conversion of the backup in order to get it into 2012. Most important thing -- install 2005 first, then 2012. If you do that, it should go fine. When done you should be able to uninstall 2005 safely without impacting 2012. You can also make 2005 a named instance and 2012 a default instance on 1433 if you want, no problem. Just make sure to install older to later.
