We have a remote sql 2005 server set we will be replacing with a Windows 2008 Cluster. The db supports a 3rd party app. The app has not completely endorsed sql 2008. If I build an active/passive cluster with sql 2005, is there the ability to upgrade the sql server to a SQL 2008 cluster?

If I understand your query correctly, you are asking is there possible to upgrade Active / Passive SQL Server 2005 cluster to SQL Server 2008.
Yes SQL Server 2005 cluster can be upgraded to SQL Server 2008.
To upgrade an instance of SQL Server to a SQL Server 2008 failover cluster, the instance being upgraded must be a failover cluster.
