Long story short....need to install SS2K on a box that already has SS2K5 installed and working,
Both versions are Standard edition running on Windows 2003 Server. (32 bit)
This thread appears to say its ok

Anyone any experience of doing this...any "gotchas" I need to be aware of ?

Yeap, no issues. Of course the second instance will be named instance :). Also you'll need to watch out for memory, cpu and disk i/o etc for running multiple instances on a server.

This should be no problem. I have both on my laptop and they work fine.
All u need is required resources so that your system dont die in want of resources. My laptop has 1 GB RAM and it works reasonably well(of course there is no load on it).
Seprate services will be created for both servers.
