32 or 64 bit OS? 32 or 64 bit SQL Server?
Are there indications of memory issues?
Did you check for errors in the SQL Server error log and the Windows event logs?
Did you try doing a repair of the .Net Framework?
Are there pending updates requiring a reboot?

What is the CLR procedure doing? Can you post the code and namespaces being used?
