We have an Active/Passive SQL 2k cluster reside on Win2003; I want to add two new nodes to the cluster as passive nodes. Do I need to insert SQL ENT CD perform to add them? Or just add IPs and server names to the existing resource group?

In a clustered environment, all the nodes should have the same path for binaries and executables installed on each of them. This happens at the time of installation. Also, please check Win2003 supports more than two clustered nodes? (I am not sure)

If you are adding a node to the cluster you will need to run the install for each instance on the new node (including service packs) since there are no local binaries or registry entries on the new server. Win2003 does supports 4 node clustering.
