Could anyone please advise me or direct me in a right way for the following scenario.
I am in a process of developing a document where customer requirenment is an in place upgradation of SQL Server 2005 64-bit cluster to SQL 2012 enterprise 64-bit cluster. Meanwhile they are updgrading Windows 2003 3 node cluster to windows 2008r2 cluster as well.
I will appreciate Any help/advise.

Have you ever carried out an upgrade of this type before?
Do you plan to use a side by side upgrade or upgrade the existing system?
What SQL Server service pack level is the SQL Server 2005 cluster at?

I never done this before.
It will be in-place (upgrade existing system)
its is SP4

With that level of knowledge you're not leaving yourself much margin for error!
The first thing you will want to do is to check the current hardware against the Windows Server 2008 R2 HCL
