Hi All
I have situation where i need to
1. upgrade default instance to named instance
2. and install three instances on SQL Server 2000.
Plesae help me in both scenario... I am really confuse about this installation.

I am not sure you can switch from Default instance to Named. But as a workaround I would install a named instance and move a database and logins (and other objects like DTS jobs) to this instance similar like you are moving from server to server. You may find out that a lot of things like DTS jobs, Backup Jobs, queries, data sources have to be modified to reflect the new server name. Do not forget Firewall ports that will change from 1433 (default for default instance) for example to other port.
